Closing a company

Closing a limited company in Prestwich: striking off, MVL and the tax

If your company has stopped trading and owes nothing, striking it off is usually the cheapest way to close it. Companies House charges £13 to apply online and £18 on paper. Where there is real money still sitting in the company, a members’ voluntary liquidation often leaves you better off once tax is taken into account. We look after the final accounts, the closing returns and the timing, and bring in a licensed insolvency practitioner when a liquidation is the right route. Strike off, and when you can use it

The simple route, using form DS01 signed by a majority of the directors. You can only apply if the company has not traded or sold off stock in the last three months, has not changed its name in that time, is not threatened with liquidation and has no agreement with creditors such as a CVA. Copies of the application go to shareholders, creditors, employees and any other directors within seven days.

What it costs and how long it takes

£13 online or £18 by post, paid from an account that does not belong to the company being struck off. Companies House then publishes a notice in The Gazette. If nobody objects, the company comes off the register once the two months in that notice have passed, and a second notice confirms it no longer legally exists. Budget on three to four months end to end.

Empty the company before you apply

Anything still in the company on the day it is struck off passes to the Crown. That includes the bank balance and any HMRC refund that turns up afterwards. You also lose access to the company bank account, and the only way back is to restore the company. Close the accounts, transfer anything worth keeping and settle the debts first.

The £25,000 rule that catches people out

On a strike off, HMRC treats what you take out as capital rather than a dividend only if the total distributed is no more than £25,000, and only if the company has paid what it owes and collected what it is owed. Go a pound over and the whole distribution is taxed as income, not just the excess. That single threshold decides the right closing route for most small companies.

Members’ voluntary liquidation

For a solvent company with more than £25,000 to hand back. A licensed insolvency practitioner is appointed, the reserves are distributed as capital, and Business Asset Disposal Relief can cut the rate to 18% on qualifying gains from 6 April 2026, against 14% for disposals in 2025/26. There are conditions, including a two year qualifying period and a 5% shareholding, so the maths is worth running before you decide.

The filing that still has to happen

Stopping trading does not stop the deadlines. There are final accounts and a closing Company Tax Return, a final VAT return and deregistration if you are registered, closing payroll submissions and P45s if you have staff, and your own self assessment for the year the money comes out. How much does it cost to close a limited company?+

Should I strike the company off or use an MVL?+
As a rough rule, if there is £25,000 or less to distribute a strike off is normally the sensible choice, because HMRC will treat the distribution as capital. Above that figure the whole amount is taxed as income on a strike off, so a members’ voluntary liquidation is usually worth pricing up. The right answer depends on your other income, your shareholding and how long you have held the shares, so it is a conversation rather than a formula.
What happens to money left in the company bank account?+
It passes to the Crown. Once the company is dissolved the bank account is closed to you, and anything in it, along with any refunds paid in later, is treated as ownerless property. Recovering it means applying to restore the company, which is slow and costs a good deal more than getting the order of events right in the first place.
My company owes money. Can I still strike it off?+
No. Striking off is not available to a company that is threatened with liquidation or has an arrangement with creditors, and creditors can object to the Gazette notice in any case. A company that cannot pay its debts needs a creditors’ voluntary liquidation, handled by a licensed insolvency practitioner. Speak to someone early, because the options narrow as the position gets worse.
